Our Practice

Directors & Officers Liability

LJW has an extensive practice representing insurance companies that provide directors and officers (“D&O”) liability insurance.  LJW routinely assists its D&O clients in connection with claims made under primary and excess policies issued to publicly traded corporations, as well as private companies and non-profit entities.  Our attorneys have vast experience representing insurers on a variety of D&O claims, including securities fraud class actions, shareholder derivative actions, and governmental and regulatory investigations.  LJW’s D&O practice encompasses a broad and comprehensive range of services.  These services include, among other things:

  • assisting clients in evaluating and making coverage determinations.  LJW’s D&O attorneys regularly analyze coverage issues, prepare coverage analyses and opinions, and draft coverage correspondence.
  • formulating and implementing strategies for the effective resolution of claims.  LJW attorneys are involved in all aspects of the claim process, including analyzing and assessing liability and exposure issues, monitoring underlying litigation, representing clients at mediations, and participating in settlement negotiations.
  • representing clients in both the defense and prosecution of coverage actions.  Our lawyers have been involved in litigation, in state and federal courts, involving a variety of coverage-related issues including rescission, notice and reporting issues, related claims questions, and the insured versus insured and other exclusions.
  • assisting clients in the drafting of D&O policy forms and endorsements.
